ARTICLE II - OFFICERS AND DIRECTORS |
Section I The Board of
Directors shall be comprised of the President, Vice President, Secretary,
Treasurer, and Editor. Section II The term of office of the Board of Directors shall be two years. The officers shall be elected in the manner described in ARTICLE VI and shall serve so long as they remain in good standing until their successors are elected and qualified. Section III The Board of Directors shall direct and supervise the activities of the club and shall take such action consistent with these By-Laws, as it may deem necessary to implement the objects of the club and perform its duties hereunder. Section IV The Officers of the Club shall be: President, Vice President, Secretary, and Treasurer. They shall serve in their respective capacities both with regard to the Club and its meetings and to the Board of Directors and its meetings. {a} The President shall be the chief administrative officer of the club and shall preside at each meeting of the Club and of the Board of directors. The President shall be ex-offico non-voting member of all committees except the nominating Committee, on which the President shall not serve. At each meeting of the Club the president shall report in writing on its condition and activities. {b} The Vice President shall perform the duties of the President during temporary absence or incapacity of the President should that office become vacant. The Vice President shall succeed to the office of President shall that office become vacant. The Vice President shall perform such duties as may be assigned by the President or the Board of Directors. {c} The Secretary shall keep a record of the proceedings at all meetings of the Club and Board of Directors, of all votes conducted, by mail, and of all matters of which a record shall be ordered by the Club or by the Board of Directors, the Secretary shall have charge of all files and papers of the Club and its Seal. The Secretary shall have at all times an up-to-date list of the members of the Club and their address. The Secretary shall conduct Club correspondence. The Secretary shall receive and process membership applications, notify the Treasurer, and Editor of all additions to and changes to the membership roster; notify members of the meetings of the Club; and notify members of the Board of Directors of meetings of the Board. The Secretary shall keep the American Kennel Club informed of any changes in the Club’s Officers and By-Laws. The Secretary shall perform other duties as are prescribed in these By-Laws or as may be assigned by the Board of Directors. (d) The Treasurer shall collect and receive all money due or belonging to the Club and shall deposit such funds in the name of the Club in the bank or banks designated by the Board of Directors. The Treasurer shall pay the bills of the Club as authorized by the Board of Directors or by the members of the Club at a meeting. The Treasurer shall keep the books of the Club in a manner that is consistent with accepted bookkeeping practices, and such books shall be open to members upon reasonable notice. The Treasurer shall report quarterly to the Board of Directors and also to each meeting of the Club and of the Board of Directors the condition of the Club’s finances and all receipts and payments not before reported to them, and at the Annual meeting the Treasurer shall render an account of all moneys received and expended during the previous fiscal year. The Treasurer shall make or cause to be made on behalf of the Club whatever tax reports are required by law to be made to federal and state agencies. The Treasurer shall be bonded at the expense of the Club and shall have the accounts audited during the month of September by a committee of three members appointed by the Board of Directors, and their report shall be submitted at the next Annual meeting. {e} The Editor shall maintain the membership roster of the Club. The Editor shall publish all Minutes of the Annual meeting, and the Minutes of a Special meeting, expect any action taken at a Special meeting under the provisions of ARTICLE VI, within the time established by ARTICLE III, Section VIII. The Editor shall perform other duties as are prescribed in these By-Laws or as may be assigned by the Board of Directors. {f} Any vacancy, except in the office of President occurring on the Board of Directors during the term of office shall be filled until the next bi-annual election from among the qualified members of the Club by a majority vote of the remaining members of the Board of Directors. The office of the President shall be filled automatically by the Vice President. |
